GoIP Updates Shareholders on Merger
NEW YORK, NY--(Marketwire - Jun 6, 2011) - GoIP Global, Inc. (PINKSHEETS: GOIG) announced today that it will undertake a corporate reorganization of its subsidiary GO800, LLC. The proposed reorganization will involve a merger of GO800, LLC with GOBOX. GO800, LLC will be reorganized as a Nevada corporation, will change its name to GoCom, Inc and continue as a subsidiary of GoIP Global, Inc. Subject to shareholder approval and regulatory compliance, GoIP Global may undertake a spin-off of GoCom, Inc. as part of the reorganization.
This reorganization is expected to enable GoCom to raise $2.5 million for further development and marketing of GO800 and GOBOX products. GoCom, Inc will be headed by John Rafuse as previously announced. Mr. Rafuse is currently assembling a team of marketing professionals for GO800 and GOBOX. As part of the reorganization, the existing contract with IF Communications will not be extended, and all social media and online marketing will be done in-house. It is expected that GO800's marketing focus towards Twitter, dating, and major advertisers will be expanded as a result of the reorganization.
GO800's "Telephone Numbers are Dead" campaign continues to attract attention and copycats, as seen with TextMyMarket and others. Intergen's claims that we have infringed on their patent are without basis and will be aggressively defended -- we will keep all informed.
